Terms and Conditions of Use and Subscription

1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the mobile application and services (collectively, the “App” or “Services”) provided by Guangheng Intelligent (“we,” “our,” or “us”).

By downloading, accessing, or using the App, you (“User” or “you”) agree to be bound by these Terms, including all updates and additional conditions that may apply to any premium features or memberships, including Yes, I am Plus.

If you do not agree with these Terms, you must not access or use the App.

3. Description of Services

The App provides Users access to motivational and mindfulness-related digital content, including daily affirmations, wallpapers, and aesthetically therapeutic visuals.

Users may access basic features free of charge, or subscribe to Yes, I am Plus, a premium membership providing additional benefits as outlined below.

4. Yes, I am Plus Membership

4.1 Membership Types

We offer three types of paid memberships (“Membership Plans”):

• Monthly Plan: Auto-renewing monthly subscription charged at the App Store-listed price. Renewal occurs automatically on the monthly renewal date unless cancelled before the renewal period.
• Annual Plan: Includes a 7-day free trial for first-time subscribers. You may cancel anytime before the trial ends to avoid being charged. If not cancelled, the App Store-listed price will be automatically charged at the end of the trial, and your subscription will auto-renew annually. Renewal can be turned off at any time.
• Lifetime Plan: A one-time purchase providing lifetime access to all membership benefits with no further charges.

4.2 Membership Benefits

Yes, I am Plus members receive:

1. Full access to all affirmation themes (8+ main categories and 80+ subcategories).
2. Unlocking of all background images and intelligent recommendations.
3. Unlimited access to all affirmation content (non-members have limited access).
4. Watermark-free downloads and sharing.
5. Access to any additional features introduced for Plus members in the future.

4.3 Payment and Renewal Terms

• Payments are processed through the App Store in accordance with its terms.
• Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date.
• You can manage or cancel your subscription anytime via your App Store account settings.
• Refunds for partial billing cycles or unused time are not available, except where required by applicable law.
• Prices are subject to change. You will be notified in advance of any price adjustments.

4.4 Free Trial

The 7-day free trial for annual members is available only once per user account. Cancelling before the end of the trial period will prevent any charges; otherwise, your subscription will automatically begin at the stated annual price.

4.5 Termination of Membership

Guangheng Intelligent reserves the right to suspend or terminate your membership if:

• Payment fails or is reversed;
• You violate these Terms; or
• Fraudulent or abusive activity is detected.

No refund will be provided for termination due to violation of Terms.

5. User Eligibility

Users must be at least 18 years of age and possess the legal capacity to enter into binding contracts. If you are under 18, you may only use the App under the supervision of a parent or guardian.

If we become aware that a minor has subscribed without proper consent, we reserve the right to terminate the account and refund any charges in accordance with App Store policies.

6. User Obligations

You agree to:

• Use the App only for lawful purposes and in accordance with these Terms.
• Provide accurate and up-to-date information during registration and payment.
• Refrain from sharing your account credentials with others or reselling access.
• Not misuse, copy, or distribute App content without authorization.

Violation of these obligations may result in account suspension or permanent termination.

7. Intellectual Property

All content within the App—including text, images, audio, design, and code—is owned by or licensed to Guangheng Intelligent and is protected by international copyright and intellectual property laws.

You are granted a limited, non-transferable, non-exclusive license to use the App for personal, non-commercial purposes. Reproduction, modification, or commercial use without express written permission is strictly prohibited.

8. Limitation of Liability

By way of example, Guangheng Intelligent, will not be liable in any case in the event of:

• Guangheng Intelligent is not liable for damages to the SERVICES offered that may result from misuse of the SERVICES offered, as well as for acts or omissions of the USER that are not in accordance with the specifications of each SERVICE or for damages caused by third parties that are not connected to Guangheng Intelligent.
• Misuse or abuse by the USER of the information obtained through the services contracted with Guangheng Intelligent.
• Damages or losses that have occurred as a result of the use of the information extracted from the services offered by Guangheng Intelligent.
• Errors, failures, or anomalies that may occur due to incidents resulting from actions attributable to the USER, problems in the internet networks, fortuitous causes, force majeure, or any other unforeseeable contingency beyond the good faith of Guangheng Intelligent.
• Errors or damages caused by negligence or bad faith in the use of the SERVICE by the USER.
• The non-operability or problems in the email address provided by the USER for sending the documentation, as well as the consequences that may arise from this.
• In the failures and incidents that may occur in communications, deletion, or incomplete transmissions that may be caused as a result of network failures or other situations for which Guangheng Intelligent is not directly responsible, Guangheng Intelligent cannot assume responsibility for this nor guarantee that the services of the APPS are constantly operational, being exempt from any damage that this may cause.
• For the production of any type of damage that the USER or third parties may cause to the website and the APPS.
• In no case Guangheng Intelligent will be responsible for data processing that has not been previously informed or for which the pertinent measures have not been adopted when the person responsible for said processing is a third party; that is, when Guangheng Intelligent acts as a Data Processor, although it must comply with its own obligations and responsibilities by virtue of the provisions of the applicable regulations in relation to data protection.

Guangheng Intelligent may, without prior notice, suspend or terminate the USER's access to its SERVICES, in whole or in part, for any valid reason, including, without limitation, where the USER fails to comply with or follow any of the obligations set forth herein or any applicable law, license, regulation, directive, code of practice or usage policy.

Likewise, and in accordance with current legislation, it is hereby stated that Guangheng Intelligent, even if it is not responsible for any damage that may have been caused to third parties, will collaborate and notify the competent authority of this type of incident as soon as it has reliable knowledge that the damage caused may constitute illegal activity.

Our total liability shall not exceed the total amount paid by you for your active membership during the 12 months preceding the claim.

9. Modifications and Availability

We may modify, suspend, or discontinue any aspect of the App or Membership Plans at any time, with or without notice, for maintenance, updates, or business reasons. Your continued use after such updates constitutes acceptance of the revised Terms.

10. Communications and Notices

By using the App, you agree to receive communications electronically, such as via email or in-app notifications. All legal notices will be deemed delivered when sent electronically.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of China. For professional users or entities, any disputes shall be resolved in the courts of Yuhang District, Hangzhou, Zhejiang Province. For individual consumers, disputes shall be handled under the applicable law and jurisdiction of your country of residence.
